Terms of Service

These Terms of Service (“Terms”) govern your access to and use of FlitIQ (“Service”), operated by SmartLink Basics, LLC (d/b/a FlitIQ) (“we,” “us,” or “our”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use FlitIQ. By using the Service you represent that you meet these requirements and that you are not barred from receiving services under applicable law.

2. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You are responsible for ensuring that information you provide (including your business name, email, and any team-member invitations) is accurate and authorized. Notify us immediately at support@flitiq.com if you suspect unauthorized access.

3. Subscriptions & Billing

FlitIQ offers free and paid tiers. Paid subscriptions are billed at the rate displayed at the time of purchase. On iOS, billing is processed through Apple’s App Store; on the web, billing is processed through Stripe. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current billing period.

You may cancel at any time through your App Store subscription settings or through the account page on the web. Refunds are handled in accordance with Apple’s or Stripe’s respective refund policies. We do not provide pro-rated refunds for unused portions of a paid period except where required by law.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms.
  • Scrape, crawl, harvest, or programmatically extract data from the Service beyond normal use of the provided interface and APIs, or attempt to circumvent rate limits or paywalls.
  • Resell, redistribute, sublicense, or republish FMCSA or other data obtained through the Service in bulk or as a competing product without our written permission.
  • Use the Service to send unsolicited communications, harass any motor carrier or its personnel, or violate any anti-spam or telecommunications law (including the Telephone Consumer Protection Act and CAN-SPAM).
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or its related systems, or probe for vulnerabilities.
  • Use the Service to make automated employment, credit, insurance, or similar “consumer reporting” decisions. FlitIQ is not a consumer reporting agency and the Service is not a consumer report under the Fair Credit Reporting Act.

5. Data Sources, Accuracy & Independent Verification

FlitIQ aggregates and displays publicly available data from the U.S. Federal Motor Carrier Safety Administration (“FMCSA”), including but not limited to the SAFER Company Snapshot, the Licensing and Insurance (L&I) database, the Motor Carrier Management Information System (MCMIS), and the Safety Measurement System (SMS), accessed directly or through public data portals such as data.transportation.gov (Socrata). We may also display information you or other FlitIQ users have provided (notes, pipeline stages, activity logs).

We do not generate, own, validate, or guarantee the underlying FMCSA data. FMCSA data is provided to us “as is” by the U.S. government and may be incomplete, out-of-date, withheld (e.g., “Not Public” CSA scores under 49 C.F.R. § 350), incorrectly entered, delayed in propagation, or revised retroactively. FMCSA upstream systems undergo periodic outages, migrations, and revisions outside our control. Carrier safety ratings, BASIC percentiles, insurance filings, authority status, inspection records, crash records, and contact information may change at any time and may not reflect the carrier’s current status.

You must independently verify any information obtained through the Service before relying on it for any business, regulatory, contractual, insurance, employment, credit, brokerage, dispatch, load-tendering, or other decision. For authoritative, time-of-decision data you should consult the FMCSA portals directly and, where applicable, the carrier’s own documentation (certificates of insurance, MCS-150 filings, operating authority certificates).

FlitIQ surfaces a “cached data” banner when an upstream FMCSA source is unreachable and the Service is displaying a previously retrieved response. Cached data may be hours, days, or weeks old depending on outage duration.

6. No Professional Advice

FlitIQ is an information-aggregation and workflow tool. Nothing in the Service constitutes legal, regulatory, compliance, safety, insurance, financial, credit, or transportation-brokerage advice. Risk summaries, compliance scores, audit-readiness checklists, AI-generated insights, talking points, alerts, and similar content are informational only and are not a substitute for professional judgment or for direct review of the underlying FMCSA records. You are solely responsible for your business decisions and for ensuring your operations comply with all applicable laws and regulations.

7. AI Insights & Bring-Your-Own-Key

Pro and Team subscribers may generate AI Carrier Insights using a third-party large language model. AI Insights are generated using the API key you supply (currently Anthropic’s Claude API) and are billed by that provider to you at the provider’s then-current rates. We do not subsidize, mark up, or guarantee the cost of those third-party API calls.

AI-generated content is probabilistic and may contain errors, omissions, hallucinations, or stale references. AI Insights are intended as a drafting and summarization aid only. You must review and verify any AI-generated content before relying on it, sharing it externally, or making any business decision based on it. We disclaim all liability for AI output to the maximum extent permitted by law.

8. Intellectual Property

All content, features, and functionality of the Service — including the user interface, software, design, branding, and aggregated data presentations — are owned by SmartLink Basics, LLC (d/b/a FlitIQ) and protected by intellectual property laws. You retain ownership of any original content you input into the Service (notes, custom pipeline stages, activity logs).

Underlying FMCSA data is U.S. government information and is not owned by FlitIQ. Third-party trademarks, company names, and identifiers (including motor-carrier legal names, DBA names, insurer names, and federal docket numbers) shown in the Service appear solely to identify the underlying public records and remain the property of their respective owners. No endorsement, affiliation, or sponsorship by any third party is implied.

9. Indemnification

You agree to defend, indemnify, and hold harmless SmartLink Basics, LLC (d/b/a FlitIQ), its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any privacy, publicity, or intellectual property right; (d) any outreach, dispatch, brokerage, employment, insurance, or other business decision you make based on information obtained from the Service; or (e) any claim that your use of the Service caused damage to a third party.

10. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, OR UNINTERRUPTED OPERATION. WITHOUT LIMITING THE FOREGOING, WE EXPRESSLY DISCLAIM ANY WARRANTY THAT (i) THE FMCSA OR OTHER PUBLIC DATA DISPLAYED IN THE SERVICE IS COMPLETE, CURRENT, ACCURATE, OR ERROR-FREE; (ii) THE SERVICE WILL BE AVAILABLE WITHOUT INTERRUPTION; (iii) UPSTREAM DATA SOURCES WILL REMAIN AVAILABLE OR UNCHANGED; OR (iv) AI-GENERATED INSIGHTS WILL BE ACCURATE OR FIT FOR ANY PARTICULAR PURPOSE. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTLINK BASICS, LLC (D/B/A FLITIQ) AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, BUSINESS, GOODWILL, DATA, OR USE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR IN CONNECTION WITH (a) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE, INCLUDING ANY MOTOR CARRIER; (c) ANY INFORMATION OBTAINED FROM THE SERVICE OR ANY DECISION MADE BASED ON SUCH INFORMATION; OR (d) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR DATA, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE). OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages, so some of the above limitations may not apply to you.

12. Termination

We may suspend or terminate your access at any time for violation of these Terms or for any reason with reasonable notice. You may terminate your account at any time by canceling your subscription and contacting support. Upon termination, your right to use the Service ceases immediately. Sections 5 through 11, 13, and 14 survive termination.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Multnomah County, Oregon, and you consent to personal jurisdiction in those courts.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new “Last updated” date and, for material changes affecting your rights or obligations, by email or in-product notice. Continued use of the Service after changes constitutes acceptance.

15. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
